<p><strong>Payment Policy Agreement<br /></strong><br />As a valued customer, we ask for your understanding and cooperation with regard to our payment policy. LUXX Exposition Services requires that you provide a credit card on file and ALL invoices are paid in full prior to services being rendered. Payment is due at the time the order is placed. For your convenience, we will use this authorization to charge your account for additional services ordered, which may not have been covered by your initial order. <strong>It is understood your initial order is only an estimate and may not reflect the balance of the final invoice which may </strong><strong>include but are not limited to labor, material handling, shipping, etc.</strong><br /><br />LUXX Exposition Services accepts MasterCard, Visa, Discover, American Express, company checks (US bank) and wire transfers and ACH direct deposits. A $55.00 bank transfer fee for wire transfers will apply and must be added to the amount transferred. Exhibiting company will be responsible for any and all bank fees. Any credit card charge exceeding $10,000 in one transaction will be charged a 3.5% surcharge. Please contact our office for wire transfer and ACH information. There will be a fee of $50.00 for any returned check. Purchase orders are not considered payment. <strong>All </strong><strong>companies must provide a charge authorization form with orders.</strong><br /><br />It is understood acceptance of the following terms and conditions will be construed when any of the following conditions are met:<br />• The Material Handling and/or Logistic Service/Shipping forms are sent in<br />• Exhibitor materials are delivered to either the LUXX Expositions warehouse or show site for which LUXX Expositions is the Official General Contractor for the event<br />• When an order for any rental equipment and/or labor is placed by the exhibitor with LUXX Exposition Services<br /><br /><strong>All companies must provide a charge authorization form with orders even when paying via company check, wire transfer or ACH direct </strong><strong>deposit.</strong> All orders received without the method of payment form will be charged standard rates. To obtain the discount pricing, full payment must be included with your order no later than the published discount date.<br /><br />All show site representatives, agent, display house or third parties must be made aware of this policy and must be able to settle the account in full if an unpaid balance stands. If work is contracted to a display or exhibit house and requires services from LUXX Exposition, the payment policy agreement applies. A Third Party Payment form must be completed and submitted two weeks prior to show opening.If your elected Third-Party Provider fails to pay for LUXX Exposition services, the exhibitor is still responsible for paying all invoices. LUXX Exposition reserves the right to institute a collection action against the exhibitor if the third party does not pay.<br /><br />International exhibitors must prepay 100% of owed balances prior to show move-in in U.S funds drawn on a U.S bank. Any orders or service placed with LUXX Exposition Services on show site must be paid in full at that time. Should an international exhibitor require clearance by a United States Customs office, arrangements must be made with a custom broker. LUXX Exposition Services cannot clear the shipment on behalf of the shipper. Outbound services: All outbound services will be processed on your credit card on file. A copy of the receipt and invoice will be emailed to the contact on file once the card is charged. A final invoice regarding all transactions will be emailed within 45 days of show closing. Should you require a receipt at any other time, please contact our office.<br /><br />It is the responsibility of the exhibitor/client to contact and advise LUXX Exposition Services immediately of any discrepancies or problems with their invoices prior to the close of the show. All concerns reported prior to show close will be considered as credits to your account with LUXX Exposition. No credits or refunds will be processed until after the close of the show. Any credit card refunds must be resolved within 45 days.<br /><br />Should there be any unpaid balance after the close of the show; terms will be due and payable upon receipt of invoice. Unpaid balances after 30 days of invoice date will bear a finance charge, at a lesser of the maximum rate allowed per applicable law or 1.5% per month, which is an annual percentage rate of 18%. Any orders received from exhibitors who have an outstanding balance from previous shows will NOT be processed until payment of the delinquent invoice is settled in full. Future orders will also be on a full pre-payment basis.<br /><br />Any order cancellations after the Standard Deadline date will be charged a 50% cancellation charge. Orders cancelled after decorator move-in begins will be charged a 100% cancellation charge. There are no exchanges or refunds once equipment or furnishings have been delivered to your booth. Cancellations before move-in must be received in writing. Any labor cancellations must be received in writing before 48 hours prior to the start of 1st day exhibitor move in, otherwise labor will be charged 50% cancellation fee.<br /><br />LUXX Exposition Services will not be liable for any cost damages to the exhibitor/client resulting from a failure to comply with payment terms in advance of show, even if it results in a delay of their work and/or overtime charges.<br /><br />By signing off on any services/order forms within the LUXX Exposition Services Exhibitor Manual automatically indicates the exhibitor/client are in acceptance and agreement of the Payment Terms and Conditions and payment policy agreement.</p>

<p>This Privacy Policy (the “Policy”) governs the manner in which LUXX Exposition Services collects, uses, maintains, and discloses information collected from you in connection with the LUXX Exposition Services online storefront.</p>
<p><span style="font-family: Arial, Verdana, sans-serif; font-size: 12px;">LUXX Exposition Services may collect and store information about you and/or your business including your or your business’s name, email address, phone number, mailing address, accounting transaction data, payment or other financial information, aggregate transaction data, customer sales and order information, third-party data, business data, browser data, devices used, technical information about your means of connection to applications, and any other information or data submitted by you or third parties in connection with our Software Services, Storefronts, or other services rendered pursuant to the Agreement (the “Information”).</span></p>
<p><strong><span style="text-decoration: underline;">Information Use</span></strong></p>
<p>Information collected may be used in connection with or for purposes of providing services to you, your business, and to others, improving services provided to you, your business, or to others, providing notices to you, complying with applicable law, and any other lawful purpose, including protecting the health or safety of you or others, and monitoring and preventing fraudulent or unlawful third-party activity.</p>
<p><strong><span style="text-decoration: underline;">Commercial Use of Information</span></strong></p>
<p>LUXX Exposition Services will not sell or share the Information with third parties for any commercial purposes without your consent and express agreement. LUXX Exposition Services may, however, use the Information in order to share generic, collective, group, or other non-identifying information about the use of LUXX Exposition Services’s products and services as part of commercial transactions with third parties to help LUXX Exposition Services improve its products and services or for any other lawful purpose.</p>
<p><strong><span style="text-decoration: underline;">Third-Party Service Providers</span></strong></p>
<p>LUXX Exposition Services may use third-party service providers and vendors to assist LUXX Exposition Services in providing its products and services to you and others, including, without limitation, services to host LUXX Exposition Services’s Software Services, Storefronts, payment processes, and other services pursuant to the Agreement. LUXX Exposition Services may also use third-party service providers and vendors to store Information and other data. Any such third parties would have access to your Information for the limited purpose of assisting, as reasonably necessary, LUXX Exposition Services in providing Software Services and other services pursuant to the Agreement.</p>
<p>LUXX Exposition Services may disclose your Information as LUXX Exposition Services reasonably believes is required by court order, governmental directive, or other law, to protect the rights of LUXX Exposition Services, or as otherwise allowed pursuant to the Agreement or applicable law.</p>
<p><strong><span style="text-decoration: underline;">Information Protection</span></strong></p>
<p>LUXX Exposition Services will retain, protect, and process the Information and underlying or related data using commercially reasonable practices. Although LUXX Exposition Services will undertake such efforts to preserve and protect the integrity of the Information, you acknowledge and agree that all security measures have potential risks.</p>
<p><strong><span style="text-decoration: underline;">Customer Control of Collected Data</span></strong></p>
<p>You may decline to provide or submit Information to us, however, some of our Software Services, Storefronts, or other services may not be available to you if you choose not to provide or submit Information. You also have a right to access the Information that we hold (about you) upon reasonable written request.</p>
<p><strong><span style="text-decoration: underline;">Updates to our Policy</span></strong></p>
<p>By entering into the Agreement or the Acknowledgment or by using our products or services, you consent to the collection and use of your Information by us consistent with this Policy and the Agreement. We may change this Policy from time to time, for any reason. Any such changes become effective when posted.</p>
<p>To the extent that this Policy is inconsistent with applicable law, it is the intent of LUXX Exposition Services to comply with applicable law. If there is any conflict between any provision of this Policy and applicable law, such applicable law shall prevail; provided, however, that any such conflicting provision in this Policy shall be curtailed and limited only to the extent necessary to bring it within the legal requirements and the remainder of this Policy shall not be affected thereby.</p>
